1. Introduction
Welcome to SnapScan.
These Terms of Service (“Terms”) form a legally binding agreement between you (“Customer,” “you,” or “your”) and SnapScan LTD, 85 Great Portland Street, London W1W 7LT, United Kingdom (“SnapScan,” “we,” “us,” or “our”).
These Terms govern your access to and use of SnapScan’s websites, software, APIs, dashboards, QR generation tools, short-link infrastructure, analytics engine, and related services (the “Services”).
By creating an Account, uploading Content, generating QR Codes or Short Links, or otherwise using the Services, you agree to these Terms.

You must be at least 18 years old or the age of legal majority in your jurisdiction and legally capable of entering into binding contracts.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Account means your registered SnapScan profile.
Content means videos, QR configurations, Short Links, Destination URLs, branding assets, and related materials you upload or generate.
QR Code means a scannable code generated through the Services.
Short Link means a shortened, trackable URL created through the Services.
Destination URL means the webpage linked to a QR Code or Short Link.
Analytics Data means aggregated or pseudonymized performance data such as scans, clicks, timestamps, device type, browser, and approximate region.
DPA means the SnapScan Data Processing Addendum incorporated into these Terms.
Services means SnapScan’s QR, redirect, and analytics infrastructure and related tools.
Content means videos, QR configurations, Short Links, Destination URLs, branding assets, and related materials you upload or generate.
QR Code means a scannable code generated through the Services.
Short Link means a shortened, trackable URL created through the Services.
Destination URL means the webpage linked to a QR Code or Short Link.
Analytics Data means aggregated or pseudonymized performance data such as scans, clicks, timestamps, device type, browser, and approximate region.
DPA means the SnapScan Data Processing Addendum incorporated into these Terms.

4. Account Registration & Security
You are responsible for maintaining the confidentiality of login credentials and all activity under your Account.
You must comply with your subscription plan limits and notify support@snapscan.link of unauthorized access.
SnapScan may suspend or refuse registration for security, legal, or business reasons.

5. Subscriptions, Billing & Taxes
Subscriptions are billed monthly or annually via Stripe. Features vary by plan.
Fees are non-refundable except as expressly stated.
All fees exclude applicable VAT or sales tax.
Non-payment or chargebacks may result in suspension or termination.

6. Customer Content & Intellectual Property
You retain ownership of your Content.
SnapScan retains all intellectual property rights in its software, QR engine, redirect infrastructure, analytics systems, and branding.
You grant SnapScan a non-exclusive, worldwide, royalty-free license to process and display your Content solely to provide and improve the Services.
SnapScan may use aggregated and anonymized Analytics Data for service improvement and product development.
SnapScan retains all intellectual property rights in its software, QR engine, redirect infrastructure, analytics systems, and branding.
You grant SnapScan a non-exclusive, worldwide, royalty-free license to process and display your Content solely to provide and improve the Services.
SnapScan may use aggregated and anonymized Analytics Data for service improvement and product development.
7. QR Codes & Short Links
QR Codes and Short Links remain active during subscription but may be deactivated upon expiration, deletion, or violation of these Terms.
They may cease functioning permanently upon termination.
You are responsible for the legality and compliance of Destination URLs.
SnapScan is not responsible for expired domains, link rot, or third-party platform changes.
SnapScan reserves the right to display a “Campaign Expired” or “Subscription Inactive” pages in place of a Destination URL following subscription expiration or account deactivation.

8. Acceptable Use Policy
You may not use SnapScan for illegal activity, fraud, phishing, malware distribution, deceptive redirects, cloaking, or misuse of infrastructure.
Unauthorized scraping, automation, or API abuse is prohibited.

9. Data Protection & DPA
Where SnapScan processes Customer Personal Data on your behalf, SnapScan acts as Processor and you act as Controller.
The SnapScan Data Processing Addendum (DPA) forms part of these Terms.

10. Service Availability
SnapScan aims for high availability but does not guarantee uninterrupted or error-free operation.

11. Beta Features
Beta or preview features are provided “as is” and may be modified or discontinued at any time without liability.
12. Customer Representations
You represent that you have rights to all Content and that your use complies with applicable laws.
13. Indemnification
You agree to indemnify and hold harmless SnapScan and its affiliates from claims arising from your Content, violation of Terms, or misuse of the Services.
14. Disclaimers
The Services are provided “as is” without warranties of performance, results, or compatibility.
15. Limitation of Liability
SnapScan is not liable for indirect or consequential damages.
Total liability shall not exceed fees paid in the preceding 12 months.

16. Termination
SnapScan may suspend or terminate Accounts for breach, non-payment, security risks, or legal obligations.
Upon termination, QR Codes and Short Links may cease functioning and data may be deleted per policy.

17. Data Retention, Grace Period & Link Deactivation
17.1 Subscription Expiration & Grace Period
Upon subscription expiration, cancellation, or non-payment, a temporary grace period may apply depending on the Customer’s subscription plan.
During the applicable grace period:
- QR Codes and Short Links remain active.
- Analytics Data may continue to collect and update.
- Account access remains available subject to plan limitations.
If the subscription is renewed during this grace period, full functionality will be restored without interruption.
SnapScan reserves the right to modify grace period durations at its discretion.
17.2 Post-Grace Deactivation
If the subscription is not renewed within the applicable grace period:
- QR Codes and Short Links will be deactivated.
- QR Codes and Short Links will redirect to a “Campaign Expired” page in place of the original Destination URL.
- Access to dashboards, analytics, and related Content will remain available.
17.3 Data Retention & Reactivation
SnapScan does not permanently delete Customer Content or Analytics Data immediately upon subscription expiration.
Customer Content, QR configurations, Short Links, and Analytics Data may be retained in a deactivated or hidden state for a limited period.
If an active subscription is restored, SnapScan will reactivate associated QR Codes, Short Links, and Analytics Data.
SnapScan reserves the right to permanently remove inactive data after an extended period of account inactivity in accordance with internal data lifecycle and storage policies.
SnapScan shall not be liable for business losses resulting from subscription expiration or failure to renew.
18. Force Majeure
SnapScan is not liable for failures caused by events beyond reasonable control, including infrastructure outages or third-party disruptions.
19. Confidentiality & Feedback
Non-public SnapScan information must be kept confidential.
Feedback provided may be used freely by SnapScan without compensation.

20. Assignment
SnapScan may assign these Terms in connection with merger or acquisition.

You agree to comply with UK, EU, and US export-control and sanctions laws.

These Terms are governed by the laws of England and Wales.
